Terms of Service

1. Acceptance of Terms

By installing, accessing, or using vexp (the "Software"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree, do not use the Software. These Terms apply to all users of the vexp VS Code extension and related services.

2. Service Description

vexp is a local-first context engine for AI coding agents, distributed as a Visual Studio Code extension. The Software includes:

All core functionality runs entirely on your local machine. The Software does not require an internet connection for indexing, querying, or serving context to AI agents.

Annual billing is available for Pro and Team plans at a 20% discount. We reserve the right to modify pricing with at least 30 days' written notice. Price changes do not affect the current billing period.

4. License Grant

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Software in accordance with your selected plan. The Software is licensed, not sold. We retain all rights not expressly granted.

Your license is limited to the node count, repository count, and tool access specified by your plan. Exceeding these limits does not terminate your license — the Software gracefully degrades by excluding excess nodes from queries.

vexp, including all binaries, source code, documentation, and trademarks, is the exclusive property of Vexp and its licensors. All rights not explicitly granted are reserved.

Your code is yours. vexp does not claim any ownership, license, or rights over your source code, repositories, or any content you index with the Software. The local index file (.vexp/index.db) is your property and remains entirely on your machine.

7. Privacy

Your use of vexp is also governed by our Privacy Policy, which describes what data we do and do not collect. The key point: your source code never leaves your machine. vexp-core operates entirely offline with zero network calls for all core functionality.

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

The token reduction figures cited (65-70%) are averages based on internal testing across a variety of codebases and may vary depending on your project's structure, language, and complexity. We do not guarantee any specific level of token reduction or performance improvement.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VEXP'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL VEXP BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY.

10. Termination

You may stop using vexp and uninstall the extension at any time. For paid plans, you may cancel your subscription at any time — your plan remains active until the end of the current billing period.

We may suspend or terminate your access to paid features if you violate these Terms, with reasonable notice when feasible. Upon termination, your extension reverts to the Starter plan. Your local index and source code are never affected — they remain entirely on your machine.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of Italy. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Italy.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated with at least 30 days' notice via the vexp website or extension notification. Continued use of the Software after the notice period constitutes acceptance of the updated Terms.
